SURFIN'

TIPS FROM THE TOP
When a publisher makes an initial offer, negotiations begin. Agents are usually experienced and savvy negotiators. They usually know the current market, the price similar books have brought and what the house will pay. Since their income is contingent on the amounts their clients receive, agents can usually be relied on to work diligently for the best possible deal.
Agents also understand publishing contracts. They know which clauses are boilerplate and cannot be changed and which can be changed and to what degree. As seasoned negotiators, agents usually have developed an instinct for when they should give, when they should stand firm and how hard they should push. Conflicts of interest can arise if agents have other deals pending or longstanding relationships with a publisher. In these cases, trade-offs and compromises are not unheard of, and the interests of one client may be compromised for the benefit of another client or of the agent.
When all parties agree on the contract terms, the publisher drafts and submits a contract to the agent for review. Before sending out contracts, some publishers send out memorandums of agreement or understanding that clarify the terms that were agreed on. Memos may also be sent when the terms are complex or unusual. Occasionally, subsequent negotiations may be required to clarify misunderstandings or issues that were not fully addressed. When full agreement is reached, agents have their clients sign the contract. They then submit the executed contracts to the publisher and wait for the first advance payment, which is usually payable on the signing of the contract. When the advance money comes in, they deposit the check in a trust account, take their cut, and disburse the client's share by check.
